Terms of Service

Prodiki is a desktop-first product management tool that transforms customer feedback into evidence-backed product decisions. Key components:

• Desktop application — Local-first tool with SQLite database, AI-powered features, and a structured pipeline
• AI features — Insight extraction, pattern clustering, priority scoring, PRD generation, and conversational AI chat powered by third-party AI providers
• Cloud account — Account authentication, billing, and optional sync managed through cloud infrastructure

To use the Service, you must create an account using Google or Microsoft OAuth. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Not share your account or create multiple accounts
• Notify us immediately of unauthorized use

You are solely responsible for all activity under your account. We reserve the right to suspend or terminate accounts used fraudulently, in violation of these Terms, or inactive for 12+ months.

Subscription Plans

The Service offers tiers (Free, Pro, Enterprise) with varying features and AI credit allocations. Pricing is subject to change with 30 days' notice.

AI Credits

• Unused credits expire at the end of each billing period and do not roll over
• Additional credits may be purchased as one-time add-ons
• Credits have no cash value and are non-transferable
• No refunds for unused credits

Cancellation & Refunds

Cancel anytime. Subscription remains active until end of billing period. No prorated refunds. Local data remains accessible.

The Service uses AI to generate insights, themes, scores, PRDs, and other content (“AI Output”). Regarding AI Output:

• No guarantee of accuracy — AI Output may contain errors, inaccuracies, or biases. You must review and verify all output
• Not professional advice — AI Output does not constitute professional, legal, financial, or business advice
• Your responsibility — You are responsible for decisions made based on AI Output
• No uniqueness guarantee — Similar inputs may produce similar outputs for different users

You own your data. All content you create, upload, or import remains your property. We do not claim ownership.

You grant us a limited license to process your content solely for providing the Service. We will not sell, share, or use your content for advertising or AI model training.

You are responsible for ensuring you have the right to process any content you import, including proper consent for personal data.

You agree not to:

• Use the Service for unlawful purposes
• Reverse engineer, decompile, or disassemble the Service
• Attempt unauthorized access to any part of the Service
• Use automated tools exceeding reasonable use
• Circumvent the credit metering system
• Share, resell, or sublicense your account
• Upload infringing content
• Use AI features to generate intentionally misleading content

The Service, including design, code, features, and branding, is owned by Prodiki and protected by intellectual property laws. You may not copy, modify, or create derivative works except as permitted.

The Service integrates with third-party services including AI providers, Stripe, Linear, and OAuth providers. Your use of these is governed by their respective terms. We are not responsible for their availability or practices.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that AI Output will be accurate or suitable for any purpose.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODIKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

You agree to indemnify and hold harmless Prodiki from claims arising from your use of the Service, your content, your violation of these Terms, or decisions based on AI Output.

Disputes must first be attempted to resolve informally (30 days). Unresolved disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules in Delaware.

CLASS ACTION WAIVER: Dispute resolution will be conducted only on an individual basis, not as a class action.

These Terms are governed by the laws of the State of Delaware, United States.

We may suspend or terminate access at any time for cause. Upon termination, your right to use the Service ceases, but local data remains accessible. Cloud data is deleted within 90 days unless retention is required by law.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement.

Severability. If any provision is unenforceable, the remainder continues in effect.

Waiver. Failure to enforce a right does not waive it.

Assignment. You may not assign these Terms without consent. We may assign in connection with mergers or acquisitions.

Force Majeure. We are not liable for failures due to circumstances beyond our control.
